Contract Agreement

“This agreement is made between Guns Out Glasses, Inc., with principal offices at 609 maple st, in Sicamous BC, hereinafter referred to as ‘the Company,’ and (A)____________________, residing at (B)____________________, hereinafter referred to as ‘the Ambassador.’”


The term of this agreement shall commence on June 1, 2026, and shall continue for a period of 12 months unless earlier terminated as provided herein.”

1. Obligations
The Ambassador agrees to post a minimum of three (3) social media promotions per calendar month featuring the Company’s products and/or brand. Each promotional post must clearly showcase the Company’s sunglasses in a positive and professional manner, tag the Company’s official social media account(s), and include the designated hashtags #GunsOutGlasses and #OwnYourVision or #SunsOutGunsOut
The Ambassador further agrees to actively represent the brand in a manner consistent with the Company’s image, values, and marketing standards. Content may include photos, videos, reels, stories, event coverage, lifestyle content, or other approved promotional material across platforms including, but not limited to, Instagram, Facebook, TikTok, and YouTube

2. Exclusivity and non-compete:

“The Ambassador agrees not to endorse or promote any competing eyewear brand during the term of this agreement.”

3. Intellectual property:

“The Company grants the Ambassador a limited, revocable license to use the Company’s trademarks and logos solely for the purposes of fulfilling their obligations under this agreement.”

4. Compliance:

“The Ambassador shall comply with all applicable advertising regulations, including the clear disclosure of sponsorship.”

5. Termination:

“Either party may terminate this agreement with 10 days’ written notice on agreed apon. The Company may terminate immediately for breach of obligations.”

6. Confidentiality:

“The Ambassador agrees to keep confidential any non-public information received from the Company, including business plans and marketing strategies.”

7. Consideration:
In consideration for the Ambassador’s participation in the Program and fulfillment of all obligations outlined in this Agreement, the Company shall extend a one-time fifty percent (50%) discount to the ambassador, Applicable to up to three (3) pairs if glasses and one (1) Hoodie, as an initial benefit.
The Company shall also provide the Ambassador with a unique promotional discount code once the initial purchase is made and will be directly associated with the Ambassador’s name and/or account. The Ambassador may distribute this code through social media platforms, personal contacts, online promotions, or any other lawful marketing channels.
The promotional code shall provide customers with a ten percent (10%) discount on qualifying purchases made through the Company’s website. In addition, the Ambassador shall receive a commission credit equal to ten percent (10%) of all qualifying sales generated through use of the assigned code. Accumulated commission credits may be redeemed toward heavily discounted or complimentary products offered by the Company, subject to the Company’s current redemption policies and product availability

Performance Incentives & Confidentiality:
The Company may, at its sole discretion, offer additional incentives, increased discounts, upgraded sponsorship status, complimentary products and/or exclusive opportunities.
The Ambassador acknowledges that advancement within the Program is performance-based and may be influenced by factors including, but not limited to, sales generated through the Ambassador’s promotional code, consistency of social media promotion, content quality, professionalism, public representation of the brand, and overall marketing strategies implemented by the Ambassador.
The Ambassador further agrees that all sponsorship terms, discount structures, commission percentages, complimentary products, exclusive opportunities, internal marketing strategies, promotional arrangements, and any other non-public information related to this Agreement or the Ambassador Program shall be considered confidential information. The Ambassador shall not disclose, share, distribute, discuss, copy, or otherwise communicate any such information to any third party without prior written consent from the Company.
Any breach of confidentiality may result in immediate suspension or termination from the Ambassador Program, forfeiture of pending rewards or commissions, and any additional action deemed necessary by the Company to protect its business interests and proprietary information

8. Liability:

“The Ambassador shall not be liable for indirect damages. The Company agrees to indemnify the Ambassador against third-party claims arising solely from the Company’s products.”

9. Governing law:

“This agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia.”

10. Repayment Obligation:
In the event the Ambassador breaches, violates, abandons, or otherwise fails to fulfill any material term, obligation, requirement, or condition outlined within this Agreement, the Ambassador agrees to reimburse the Company for the full retail value of any and all products, promotional materials, discounts, complimentary items, merchandise, or benefits initially provided by the Company under the Ambassador Program.
Such repayment shall become immediately due upon written notice from the Company and must be paid within thirty (30) days unless otherwise agreed to in writing by the Company. The Company reserves the right to revoke all discounts, deactivate promotional codes, terminate sponsorship status, and pursue any additional remedies available under applicable law in order to recover losses or damages resulting from the breach of this Agreement

11. Activation & Discount Codes

By submitting this form and agreeing to the terms outlined within, you acknowledge and accept that you will receive a one-time 50% discount code issued specifically to you as an approved Ambassador/Agent of Guns Out Glasses. This code is limited to one use per approved individual and may not be transferred, shared, duplicated, or redistributed in any way.
Once your initial 50% discount code has been redeemed and successfully used, you will then be issued your own personalized promotional referral code. This personal code is intended for sharing and promotion through your social media platforms, marketing efforts, and direct referrals.
Your personal referral code will:
Provide your audience with exclusive savings.
Track all sales generated through your promotion efforts.
Accumulate rewards, discounts, credits, and/or complimentary products based on performance and participation within the Ambassador Program.
Any misuse, abuse, unauthorized sharing, or violation of these terms may result in immediate termination from the program and cancellation of all associated discounts, rewards, and ambassador privileges
